Terms of Use

The terms governing your use of ImpactMatrix Foundation websites, donations, and engagement programs.

These Terms of Use (“Terms”) form a binding agreement between you and ImpactMatrix Foundation(“the Foundation,” “we,” “us,” or “our”), a 501(c)(3) (Applied For) headquartered in Washington, D.C. and Madison, WI. They govern your access to and use of impactmatrixfoundation.org, impactmatrix.com, and any related forms, donation pages, applications, and communications operated by the Foundation (collectively, the “Sites”).

By using the Sites, donating, applying to the Founding Network, or otherwise engaging with the Foundation, you agree to be bound by these Terms and by our Privacy Policy and Donor Bill of Rights. If you do not agree, please do not use the Sites.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to make a donation, apply for programs, or enter into agreements with the Foundation through the Sites. Organizational users must have authority to bind the organization they represent.

2. Use of the Sites

You agree to use the Sites lawfully and respectfully. You will not:

  • Violate any applicable U.S. federal, state, local, or international law in connection with your use of the Sites.
  • Attempt to gain unauthorized access to the Sites, systems, or accounts of other users.
  • Use the Sites to transmit malware, scrape content for competitive purposes, or disrupt service.
  • Misrepresent your identity or organizational affiliation.
  • Use Foundation marks, content, or branding without written permission.

3. Donations

Donations to the Foundation are voluntary, irrevocable, and tax-deductible to the fullest extent allowed by U.S. law, subject to the Foundation’s tax status at the time of the gift. We will email an acknowledgment that may be used for tax purposes. Donations are processed in U.S. dollars through a PCI-compliant third-party payment processor.

Refund policy. The Foundation generally does not refund donations. If you believe a donation was made in error (duplicate transaction, incorrect amount, unauthorized charge), please contact us within thirty (30) days of the transaction and we will work with you in good faith to resolve the issue.

Restricted gifts.Donors may designate (earmark) a gift to a specific Board-directed funding priority: (i) Technology Coordination Tools for Nonprofits, (ii) the Tocqueville Civic Project, or (iii) Nonprofit-Business-Government Grants. We honor restrictions to the extent practical and consistent with the Foundation’s exempt purpose.

Recurring donations. If you set up monthly recurring giving, your card will be charged automatically until you cancel. You may cancel at any time by contacting [email protected].

4. Founding Network & Pilot Partner applications

Submitting an application does not guarantee acceptance. The Foundation reserves the right to evaluate, approve, defer, or decline applications based on eligibility, mission alignment, geographic priority, and capacity. Participating nonprofits agree to follow the Foundation’s program guidelines and to provide reasonable program data for impact reporting.

5. Intellectual property

All content on the Sites — including text, graphics, logos, the ImpactMatrix and ImpactMatrix Foundation names and marks, photographs, video, and code — is the property of the Foundation, its founders, or its licensors and is protected by U.S. and international intellectual property laws. You may view and download Foundation materials for personal, non-commercial use only. No other rights are granted.

6. ImpactMatrix platform

The ImpactMatrix coordination platform may be operated by a separate entity affiliated with the Foundation. Use of that platform is governed by its own terms of service and privacy policy, which you accept separately when accessing the platform. Foundation-funded affordable access does not exempt platform users from those terms.

7. User content

If you submit content to the Foundation (through forms, email, applications, or other channels), you grant the Foundation a non-exclusive, royalty-free, perpetual license to use, store, reproduce, and adapt that content for Foundation purposes — including impact reporting, internal review, and, where you consent, public communications.

8. Third-party links

The Sites may link to third-party websites. We do not control and are not responsible for third-party content, terms, or privacy practices. Visiting third-party sites is at your own risk.

9. Disclaimer of warranties

The Sites are provided “as is” and “as available” without warranties of any kind, express or implied. To the maximum extent permitted by law, the Foundation disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

10. Limitation of liability

To the maximum extent permitted by law, the Foundation, its directors, officers, employees, volunteers, founders, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Sites or any donation. Direct damages, if recoverable, will not exceed the amount you donated to the Foundation in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the Foundation, its directors, officers, employees, volunteers, founders, and affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your use of the Sites, or your violation of any third-party right.

12. Governing law and dispute resolution

These Terms are governed by the laws of the District of Columbia, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or the Sites will be brought exclusively in the state or federal courts located in the District of Columbia, and you consent to the personal jurisdiction of those courts. Nothing in this section limits the Foundation’s right to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of the Sites after changes are posted constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
